1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and MexTech Limited, a company registered and operating under the laws of the Federal Republic of Nigeria. By accessing or using our website, services, or technology solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using our services. These Terms are enforceable under Nigerian law and subject to the jurisdiction of Nigerian courts.
2. Services Description
MexTech Limited provides enterprise technology solutions, software development, cloud services, mobile development, cybersecurity, data analytics, and IT consulting services. The specific scope, deliverables, timelines, and pricing for services will be defined in separate service agreements or statements of work. We reserve the right to modify, suspend, or discontinue any service at our discretion with reasonable notice to affected clients.
3. User Responsibilities and Obligations
As a user of our services, you agree to:
- Provide accurate, current, and complete information when engaging our services
- Maintain the confidentiality of any account credentials or access information
- Use our services only for lawful purposes in compliance with Nigerian law
- Not engage in any activity that could harm, disable, or impair our systems
- Not attempt to gain unauthorized access to our systems or data
- Not use our services to transmit malicious code, viruses, or harmful content
- Comply with all applicable laws, regulations, and industry standards
- Honor payment obligations as specified in service agreements
4. Payment Terms and Billing
Payment terms, pricing, and billing schedules will be specified in individual service agreements. All fees are quoted in Nigerian Naira (NGN) or other agreed currency. Payments are due within the timeframe specified in your invoice. Late payments may incur interest charges at the rate permitted under Nigerian law. We reserve the right to suspend services for non-payment after providing reasonable notice. All prices are exclusive of applicable taxes, which shall be the responsibility of the client.
5. Intellectual Property Rights
All content, software, designs, trademarks, service marks, and intellectual property on our website and in our services are owned by or licensed to MexTech Limited and are protected by Nigerian and international copyright, trademark, and intellectual property laws.
- Pre-existing IP: MexTech Limited retains all rights to its pre-existing intellectual property, methodologies, and frameworks
- Custom Developments: Ownership of custom-developed solutions will be specified in service agreements
- License Grant: We grant you a limited, non-exclusive, non-transferable license to use our services as specified in your agreement
- Restrictions: You may not copy, modify, distribute, sell, or reverse engineer our proprietary technology without written permission
6. Confidentiality and Non-Disclosure
Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of our business relationship. Confidential information includes, but is not limited to, business strategies, technical data, customer information, pricing, and trade secrets. This obligation survives the termination of our agreement and is enforceable under Nigerian contract law and the Nigeria Official Secrets Act where applicable.
7. Warranties and Disclaimers
MexTech Limited warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However, we provide our services "as is" and make no other warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by Nigerian law.
We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that technology solutions may contain bugs or errors, and we will use commercially reasonable efforts to correct material defects.
8. Limitation of Liability
To the maximum extent permitted by Nigerian law, MexTech Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your use of or inability to use our services. Our total liability for any claim arising from these Terms or our services shall not exceed the amount paid by you to MexTech Limited in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless MexTech Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, violation of applicable laws, or infringement of third-party rights.
10. Term and Termination
These Terms remain in effect until terminated by either party. We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use our services will immediately cease. Sections that by their nature should survive termination shall survive, including provisions related to intellectual property, confidentiality, warranties, and liability limitations.
11. Force Majeure
MexTech Limited shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, governmental actions, power failures, internet service provider failures, or natural disasters.
12. Dispute Resolution and Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations between the parties.
If negotiations fail, disputes shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004), or shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. This agreement is enforceable under Nigerian law and backed by the Nigeria Bar Association legal framework.
13. Modifications to Terms
MexTech Limited reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
14. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid under Nigerian law, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
